Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Bithrive Inc (“Bithrive,” “we,” “us,” or “our”), governing your access to and use of Bithrive’s services, solutions, websites, and related offerings (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional terms and policies referenced herein, including our Privacy Policy.

2. Services Provided

Bithrive provides:

  • IT consulting
  • Digital transformation
  • Cloud solutions
  • Cybersecurity
  • Application development
  • Staff augmentation
  • Related technology services and solutions

The scope, deliverables, and fees for specific projects or services will be defined in separate agreements, statements of work, or order forms between you and Bithrive.

3. Account Registration and Security

You may be required to create an account to access certain Services. You agree to:

  • Provide accurate, current, and complete information
  • Keep your credentials confidential
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized use

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or malicious purpose
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to any systems or networks
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to transmit viruses, malware, or other harmful code
  • Violate any applicable laws or third-party rights

5. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, documentation, and content, are owned by Bithrive or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely as permitted by these Terms and any applicable agreement.

6. Fees and Payment

  • Fees will be outlined in separate agreements or order forms
  • Unless otherwise stated, all fees are due within 30 days of invoice
  • Late payments may result in interest charges and/or suspension of Services

7. Confidentiality

Both parties agree to:

  • Treat all non-public information as confidential
  • Not disclose such information to any third party
  • Make exceptions only as required by law or with written consent

8. Data Protection and Privacy

  • Bithrive will handle personal data in accordance with its Privacy Policy and relevant data protection laws
  • You are responsible for ensuring your use of the Services complies with applicable privacy and data regulations

9. Third-Party Services

The Services may integrate with or link to third-party platforms.
Bithrive is not responsible for the content, policies, or practices of such third parties.

10. Warranties and Disclaimers

Bithrive provides the Services in a professional and workmanlike manner.
Except as expressly provided, all Services are offered “as is” and “as available,” without warranties of any kind, including:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement

11. Limitation of Liability

To the fullest extent allowed by law:

  • Bithrive shall not be liable for indirect, incidental, special, consequential, or punitive damages
  • This includes loss of profits, revenue, data, or use
  • Bithrive’s total liability will not exceed the amount you paid for the Services in the 12 months preceding the claim

12. Indemnification

You agree to indemnify and hold harmless Bithrive, its affiliates, officers, employees, and agents from any claims, liabilities, damages, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms

13. Term and Termination

These Terms remain in effect until terminated by either party.

  • You may terminate by ceasing use of the Services
  • Bithrive may suspend or terminate your access for any breach
  • Upon termination, all rights granted to you will cease immediately

14. Changes to Terms

We may update these Terms at any time.
Changes will take effect upon posting on our website or via direct notification.
Continued use of Services after changes constitutes acceptance.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict of law principles.
Disputes will be resolved by:

  • Binding arbitration, or
  • In the courts of Loudoun County, Virginia, unless mutually agreed otherwise

16. Miscellaneous

  • If any provision of these Terms is deemed invalid, the rest remain in effect
  • These Terms constitute the entire agreement between you and Bithrive
  • You may not assign your rights or obligations without Bithrive’s written consent
